Outline of Insurance Requirement for Exhibit B

 Upon execution of this Agreement and prior to Subcontractor’s commencement of work or services, Subcontractor shall provide Contractor with a Certificate of Insurance evidencing the required insurance below.  The Subcontractor shall procure and maintain in force with companies acceptable to Contractor, insurance with limits of liability of not less than the following:

Insurance shall cover liability arising from premises, operations, independent contractors, products-completed operations, personal and advertising injury, and liability assumed under an insured contract (including the tort liability of another assumed in a business contract).
The Contractor’s Commercial General Liability policy shall not contain an exclusion or restriction of coverage for the following:
Claims related to explosion, collapse and/or underground property damage
Claims related to earth subsidence or movement, where the work involves such hazards
Claims for bodily injury other than to employees of the insured
Claims by one insured against another insured, if the exclusion or restriction is based solely on the fact that the claimant is an insured, and there would otherwise be coverage for the claim. 
 
Subcontractor shall name Contractor as Additional Insured on Subcontractor’s General Liability Insurance for ongoing and completed operations.  The required ISO form is CG 20 10 11 85 or a combination of ISO forms CG 20 10 12 04 and CG 20 37 12 04 or forms providing equivalent coverage for additional insured.
Subcontractor must maintain an insurance policy applicable to the additional insured with a limit of at least those limits stated above however, the additional insured shall be insured to the full limit of liability stated in the declarations of the Subcontractor’s insurance policy(ies).  Completed operations additional insured (Under the General Liability and Umbrella Liability) in favor of Contractor shall remain in full force and effect until the expiration of the statute of repose in the state in which the work is performed. 
 
Additional insured coverage for both ongoing and completed operations shall apply as primary/noncontributory insurance with respect to any other insurance afforded to Contractor.
 
Subcontractor shall name Contractor as Additional Insured on Subcontractor’s Auto Liability insurance.

Subcontractor shall obtain a waiver of subrogation on Commercial General Liability (for both ongoing and completed operations), Auto Liability and Workers’ Compensation in favor of Contractor.

All additional insured and waiver of subrogation forms required on underlying insurance shall also be applicable to umbrella liability.
